We acted for Falkirk Council in connection with the development of Falkirk Community Stadium. In that project we advised on the establishment of Falkirk Community Stadium Limited ("JVCo") as a joint venture company owned by Falkirk Council and Falkirk Football Club (including advice on state aid; company law; transfer of assets and all related matters). We also advised on the terms of the Ground Lease to the JVCo by the Council (incorporating a turnover related rental stream) as well as the grant of an occupational lease to Falkirk Football Club. Our Construction Team dealt with the review and negotiation of the building contract and professional appointments for the construction of the stadium.
We acted for Scottish & Newcastle plc on the Scottish aspects of its £7.8bn takeover by Heineken/Carlsberg. The takeover was carried by way of a Scheme of Arrangement in terms of s.425 of the Companies Act involving an application for sanction of the Scheme to the Court of Session. Acting for Scottish & Newcastle plc and working with the City-based advisers to both S&N and the Carlsberg/Heineken consortium, we provided initial input on timetable in light of the court processes; instructed counsel; provided input on the Scheme document and circular to shareholders and related notices and proxy forms; attended the Court convened meeting and EGM; submitted the petition and co-ordinated the provision of all productions and authorities to the Court; liaised with the Court and the reporter appointed by the Court to report on the proceedings; attended all hearings; dealt with various filings at Companies House and generally provided input from a Scottish perspective throughout the transaction. The transaction was high value and complex and our litigation and corporate team worked together on it over the period of our involvement
