Our Restructuring & Insolvency team provides advice to business clients who wish to re-arrange their corporate affairs either as a result of financial distress or in order to provide a better group structure, or for tax and business efficiency purposes. We work with all forms of vehicles, including limited companies, LLPs, partnerships and other corporate entities and often they are comprised in complex accounting groups and associated persons, such as directors, members, shareholders and other "equity" holders.
We also provide business restructuring advice to lenders, creditors, insolvency practitioners and other advisers dealing with restructuring, business rescue, turnaround or formal insolvency appointments. We regularly work with colleagues in other firms as part of a UK wide/International team delivering on multi-jurisdictional projects. In doing so, we provide assistance on all issues relevant to Scots law, including reviewing and revising transaction plans and deal documentation from a Scots law perspective and managing all aspects of formal insolvency appointments subject to Scottish jurisdictional rules. In providing this advice, we deliver guidance on the Scots law aspects of security, title, litigation, contract and Scottish courts processes. We ensure that our work is fully in line with the requirements of the project plans, timelines and costs of our clients and instructing counsel.
We have a cross departmental team which is vastly experienced in providing high quality corporate restructuring and insolvency services and this allows us to provide a full service offering so that all our clients' needs are met across all aspects of specialist legal advice required. For example, our Real Estate team possesses a wealth of experience in dealing with insolvency related work in advising landlords, insolvency practitioners, sellers, purchasers and other stakeholders in the real estate sector. In doing so, they are supported by our Construction team, which deals with both contentious and non-contentious work including claims arising out of insolvency. Our Litigation and Employment teams routinely advise on insolvency and restructuring matters, including TUPE, directors duties and challengeable transactions. Finally, our Banking & Finance team provides support on restructuring transactions where debt finance has been, or is to be, provided to the corporate vehicles which are subject to the restructuring and have acted as Scots Counsel for both buyers and sellers in over 20 loan portfolio sales.
