The next new provision to be inserted into UK company law requires all directors to be "natural persons". No….your Board doesn’t necessarily need to be made up of people 'in touch with nature', but rather of real people: humans, with opposable thumbs! From October 2016 the appointment of a company as a director will be prohibited.
LLP's are not currently subject to this prohibition, so a company can still be a member/partner in an LLP.
It is believed by the Government that the use of 'corporate directors' should be restricted because their opacity can contribute to illicit corporate behaviour. The Serious Fraud Office reports that "corporate directors contribute to complexity" which, in their view, facilitates crime in one quarter of their cases.
