Whether you’re a sophisticated professional partnership or investment vehicle, or an 'inadvertent partnership', it's best that the basis of your partnership and the rules that apply between partners are understood, leaving you free to concentrate on the management and growth of your business. We have wide experience of advising on partnership arrangements in the context of both trading partnerships and investment vehicles, including Scottish vehicles in investment funds, renewable energy projects, specialist joint ventures and single purpose vehicles, and can advise on their formation and ongoing operation.

We also advise on limited liability partnerships (LLPs) incorporated under the Limited Liability Partnerships Act 2000, and on limited partnerships (LPs) under the Limited Partnerships Act 1907, and will tell you which of these similar, but different, partnerships is right for you.

Benefits we bring to your business

We know what goes wrong in business relationships. Inevitably, from time to time there will be disputes among partners and when relationships break down we can assist with independent, rational advice which preserves rather than destroys businesses. Our lawyers deal with dozens of partnership matters every year and will always give you intelligent, clear advice based on their knowledge of the law and on their wide experience. We understand the need for balance in all commercial relationships, which is particularly important in a relationship like a partnership, where mutual trust among partners is key.

Our approach to fees

We're able to provide fixed fee quotes for most types of partnership work, particularly the establishment of partnerships, be they straightforward partnership agreements for trading businesses or arrangements for sophisticated investment vehicles. Where we're not able to provide a fixed fee quote, for example in the case of a partnership dispute, we'll provide a firm indication of what the fees are likely to be and keep you informed of costs against that budget as a matter progresses. We use our experience in this area to bring you maximum cost certainty.
